Terms of Use

2.1 Modification of Terms

MB Technologies reserves the right, at its sole and absolute discretion, to revise, update, change, modify, add, or remove portions of these Terms at any time without prior notice to you. All changes are effective immediately when we post them on the Site and apply to all access to and use of the Site thereafter. It is your responsibility to check these Terms periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

2.2 Modification of Site

We reserve the right to withdraw or amend this Site, and any service or material we provide on the Site, in our sole discretion, without notice. We will not be liable for any reason that all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site, to users, including registered users.

3.1 Ownership and Proprietary Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, source code, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (collectively, the "Content") are owned by MB Technologies, its licensors, or other providers of such material and are protected by Sri Lankan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

The name "MB Technologies", "MB Tech", the MB Technologies logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MB Technologies or its affiliates or licensors. You must not use such marks without the prior written permission of MB Technologies. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

3.3 Limited License

Subject to these Terms, MB Technologies grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Site strictly for your internal, personal, and non-commercial use. This license does not include any resale or commercial use of the Site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Site or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

3.4 Software Use

Any software that is made available to download from the Site ("Software") is the copyrighted work of MB Technologies and/or its suppliers. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms.

4.1 Legal Compliance

In any way that violates any applicable local, national, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from Sri Lanka or other countries).

4.2 System Integrity and Security

• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• To attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
• To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

4.3 Data Mining and Scraping

• To use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
• To use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without our prior written consent.

4.4 Harmful Behaviour

• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate MB Technologies, an MB Technologies employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm MB Technologies or users of the Site, or expose them to liability.

5.1 Feedback

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or MB Technologies services ("Feedback") provided by you to us are non-confidential and shall become our sole property. MB Technologies shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Feedback for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to You.

5.2 User Content

If you post, upload, input, provide, or submit your personal data, CVs, business plans, or other content ("User Content"), you grant MB Technologies, its affiliated companies, and necessary sub-licensees a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purposes of operating, providing, improving, and promoting MB Technologies' services, or as otherwise required by law.

5.3 Warranty on Submissions

By posting User Content, you warrant and represent that you own or otherwise control all of the rights to your User Content as described in these Terms, including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the User Content.

6.1 Third-Party Websites

The Site may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of MB Technologies, and MB Technologies is not responsible for the contents of any Linked Site, including without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site. MB Technologies is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by MB Technologies of the site or any association with its operators.

6.2 No Endorsement

Certain services made available via the Site may be delivered by third-party sites and organizations. By using any product, service, or functionality originating from the Site domain, you hereby acknowledge and consent that MB Technologies may share such information and data with any third party with whom MB Technologies has a contractual relationship to provide the requested product, service, or functionality on behalf of users and customers.

12.1 Right to Terminate

MB Technologies may, in its sole discretion, terminate or suspend your access to all or part of the Site for any reason, including, without limitation, breach of these Terms.

12.2 Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. You must immediately destroy any downloaded or printed materials obtained from the Site. The provisions regarding Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law shall survive any termination of these Terms.

13.1 Governing Law

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka without giving effect to any choice or conflict of law provision or rule.

13.2 Jurisdiction

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the competent courts located in Colombo, Sri Lanka, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13.3 Class Action Waiver

To the maximum extent permitted by applicable law, all proceedings shall be conducted on an individual basis and not as a class or representative action.

16.1 Entire Agreement

The Terms of Use, our Privacy Policy, and any other legal notices published by MB Technologies on the Site constitute the sole and entire agreement between you and MB Technologies regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

16.2 Waiver and Severability

No waiver by MB Technologies of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MB Technologies to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16.3 Assignment

MB Technologies may assign its rights and obligations under these Terms to any party at any time without notice to you. You may not assign these Terms without the prior written consent of MB Technologies.

16.4 Force Majeure

MB Technologies shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
